    Krishna, 1 at this point I wish to stay as far away from 3.4 as I can
    2. public site will be at the root domain
    3. no problems on /rei site – on root domain site no Dashboard access
    4. see 1-3

    manual instructions begin with deactivating plugins and I have no Dashboard access.

    I have done all MySQL db tests on the root domain db and all come back fine.

    Will overwriting the WPIncludes and WPContent files with those from 3.4 files I have on my computer hurt my installation?

    Well, the rest you will manage yourself?

    You do not want to overwrite your wp-content folder ever as that is where you have your themes,plugins,and your uploads stored.
    The other one is wp-config.php file as that has your database info.

    You can overwrite all other core files if you run into problems.

    Ok, all who are interested.
    The Update to WP 3.4 once processed forces a database update if it is needed; which happened here.

    The update failed and caused the above referenced problem.

    With gvopatel’s help I found 2 files that I removed:
    db.php
    db-config.ini
    in the wp-content folder

    After removing these two files and attempting to access the Dashboard I was once again given the message to update the db. After clicking the ok button, the db update completed successfully returning full access to the Dashboard. TG

    Upon checking the wp-content folder only the db-config.ini file was present. Whatever all of this means, I don’t know, but this is what I had to do to get a fix.

    Ah, ok good. I’m having the exact same problem. So removing those 2 files solved the problem completely, or did you have to go back to 3.3.1 (or whatever you had before)?
