WP 2.2.1 upgrade – missing stuff

I upgraded to the new 2.2.1 wordpress that I download from this website. I went through the upgrading process (I’ve done it a million times on multiple sites, and yes I know what I’m doing)….but for some reason I missing controls in the write post/page section. I even have the “Use the visual editor when writing” checkmarked.

Here is a image of what I’m seeing and it never loads at all.

Anyone know what I’m suppose to do now??
