Its an issue with your webhost restricting how much memory you can use. Try disabling all your plugins before upgrading.

If that doesnt work ask your host to up your resources

Are you sure you actually have a wp-content folder? It may have not been uploaded.

Old WordPres versions are very prone to being hacked. WordPress upgrades usually include security updates which keep your blog safe.

Trust me, its much easier to upgrade WordPress than it is to clean up a spammy/hacked site.

The newer WordPress versions allow you to upgrade WordPress in the dashboard, so this will be the last time you need to do it.

You can login to WordPress at YOURDOMAIN/wp-admin/

There is also a Lost your password link there if you need it.

I think the default theme should support BuddyPress, since it will eventually be available on single WP installs.
